1. Agreement to Terms

By accessing or using TextEvidence ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. The Service is intended for use by legal professionals and law firms.

2. Description of Service

TextEvidence provides a software-as-a-service platform for legal professionals to analyze, search, and export text message archives. The Service includes:

  • File upload and processing of message archives
  • AI-powered search functionality
  • Court-ready PDF export with line numbers
  • Contact mapping and case organization
  • Team collaboration features

3. User Accounts

3.1 Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Types

We offer different subscription tiers with varying features and limits. The specific features and limits of each tier are described on our pricing page and may be updated from time to time.

4. Subscription and Billing

4.1 Free Trial

We may offer a free trial period. At the end of the trial, you will be required to subscribe to a paid plan to continue using the Service. We will notify you before the trial ends.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is due at the beginning of each billing cycle. All fees are non-refundable except as expressly stated in these Terms.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. You will retain access to your data during this period.

4.4 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of the next billing cycle.

5. User Content and Data

5.1 Your Content

You retain all rights to the content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to process, store, and display such content solely for the purpose of providing the Service to you.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of uploading it. You represent and warrant that:

  • You have all necessary rights to upload and use the content
  • The content does not violate any applicable laws
  • You have obtained any necessary consents for the data

5.3 Data Processing

We process your data solely to provide the Service. We do not use your User Content to train AI models or for any purpose other than providing the Service.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload content that infringes on intellectual property rights
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload malicious code, viruses, or harmful content
  • Use the Service to harass, abuse, or harm others
  • Resell or redistribute the Service without authorization

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of TextEvidence and its licensors. The Service is protected by copyright, trademark, and other laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that the results obtained from the Service will be accurate or reliable.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXTEVIDENCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless TextEvidence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
